Part B: General Terms and Conditions (GTC)

1. Scope of Application

These GTC govern the contract between Carigiet Solutions (hereinafter referred to as "Carigiet GEO" or "we") and the client (hereinafter referred to as "Client") regarding the Carigiet GEO monthly retainer and related services.

Our services are directed exclusively at companies, institutions, and self-employed individuals for purposes related to their commercial or professional activities. They are not intended for consumers.

Deviating terms and conditions of the Client shall only apply if we expressly agree to them in writing.

2. Services

The subject matter of the monthly retainer, in accordance with the respective proposal or order confirmation, includes: access to a dashboard for monitoring the Client's visibility in AI systems (including ChatGPT, Perplexity, Google AI Overviews, Gemini, Copilot), a recurring weekly meeting of approximately 30 minutes, and the implementation of measures to enhance AI visibility (including structured data, content optimization, source and directory management).

We are entitled to engage carefully selected third parties (subcontractors and freelancers) to perform the services. We remain responsible for quality assurance and the performance of the contract.

3. Free AI Visibility Analysis

The analysis offered on the website is a non-binding, informative service. It is based on automated queries of AI systems whose responses fluctuate and are outside of our control. We assume no liability for the accuracy, completeness, or timeliness of the analysis. The use of the free analysis does not establish a contractual relationship or any claim to a retainer.

4. Conclusion of Contract

The contract for a monthly retainer is concluded when both parties confirm a proposal or order confirmation in writing. The scope of services is determined by the order confirmation; these GTC shall apply additionally.

5. Prices and Payment

The monthly retainer fee is CHF 2,800 per month, unless agreed otherwise in the proposal. Prices are exclusive of any applicable statutory value-added tax (VAT), provided Carigiet Solutions is subject to VAT. No setup fee is charged.

Invoicing is processed on a monthly basis. Invoices are payable within 14 days of the invoice date without deductions. In the event of default on payment, we are entitled to demand default interest as prescribed by law and to suspend services, following a prior warning, until payment is received.

6. Term and Termination

The retainer does not have a minimum term. Either party may terminate the retainer with a notice period of 30 days to the end of the following calendar month. Termination must be submitted in text form; email is sufficient.

7. Service Commitment, No Guarantee of Success

7.1 Visibility in AI systems depends on the behavior of third parties, namely the operators of the AI systems as well as the sources and directories used. This behavior is outside our control. We owe diligent and professional execution, but not a specific result. In particular, we do not guarantee any specific mention, placement, ranking, or frequency of citation within an AI system.

8. Cooperation of the Client

The Client shall provide, in a timely manner, all information, expert input, and approvals required for the provision of services, in particular approvals regarding language and content statements, trademark materials, as well as the legal review of publications that refer to the Client by name. If cooperation is delayed, our deadlines shall be extended accordingly.

9. Ownership of Work Results

Upon full payment of the compensation owed, Carigiet Solutions transfers to the Client the rights to the work results created specifically for the Client, namely content, structured data, and the associated documentation, to the extent required. The Client retains these work results even after the termination of the retainer; upon request, the Client shall receive a copy or an export.

Pre-existing methods, templates, tools, software, and general know-how of Carigiet Solutions remain the sole property of Carigiet Solutions.

10. Confidentiality

The parties agree to treat non-public information of the respective other party confidentially and to use it solely for the purpose of executing the contract. This obligation survives the termination of the retainer.

11. Data Protection

The processing of personal data is governed by the Privacy Policy of Carigiet GEO. Insofar as Carigiet Solutions processes personal data on behalf of the Client, the parties shall enter into a separate data processing agreement pursuant to Art. 9 of the Swiss Federal Act on Data Protection (FADP).

12. Liability

Carigiet Solutions is liable for damages caused willfully or by gross negligence. Liability for ordinary negligence is excluded to the extent permitted by law. Carigiet Solutions is not liable for indirect or consequential damages, in particular lost profits or third-party claims.

To the extent liability exists, it is limited per event to the amount of compensation paid by the Client in the preceding twelve months. Exception is made for liability due to intent, gross negligence, or mandatory statutory liability (Art. 100 CO).

13. Force Majeure

Force majeure events that make the performance of services impossible or unreasonably difficult shall excuse the affected party from its performance obligations for the duration of the event. The parties shall inform each other immediately.

14. Modifications to the GTC

We reserve the right to amend these GTC. Modifications will be communicated to the Client in writing and shall be deemed approved if the Client does not object within 30 days of notification. In the event of an objection, either party may terminate the retainer in accordance with Section 6.

15. Applicable Law and Jurisdiction

The contract is governed exclusively by Swiss law, excluding its conflict of laws provisions and the United Nations Convention on Contracts for the International Sale of Goods (CISG).

The exclusive place of jurisdiction for all disputes arising out of or in connection with the contract is Zurich, unless mandatory law dictates a different jurisdiction.

16. Severability Clause

Should individual provisions of these GTC be or become invalid or unenforceable, the validity of the remaining provisions shall remain unaffected. The parties shall replace the invalid provision with a valid clause that closest reflects its economic purpose.
