Part B: General Terms and Conditions (GTC)

1. Scope of Application

These GTC govern the contract between Carigiet Solutions (hereinafter referred to as "Carigiet GEO" or "we") and the customer (hereinafter referred to as "Customer") regarding the Carigiet GEO monthly retainer and related services.

Our services are directed exclusively at businesses, institutions, and self-employed individuals for the purposes of their commercial or professional activities. They are not directed at consumers.

Deviating terms and conditions of the Customer shall only apply if we expressly agree to them in writing.

2. Services

The subject matter of the monthly retainer, in accordance with the respective offer or order confirmation, includes: access to a dashboard to monitor the Customer's visibility in AI systems (including ChatGPT, Perplexity, Google AI Overviews, Gemini, Copilot), a recurring weekly meeting of approximately 30 minutes, and the implementation of measures for AI visibility (including structured data, content optimization, source and directory management).

We are authorized to engage carefully selected third parties (subcontractors and freelancers) to perform the services. We remain responsible for quality assurance and performance in accordance with the contract.

3. Free AI Visibility Analysis

The analysis offered on the website is a non-binding, informative service. It is based on automated queries of AI systems, whose responses fluctuate and are outside our sphere of influence. We assume no warranty for the accuracy, completeness, or topicality of the analysis. The use of the free analysis does not establish a contractual relationship or any claim to a retainer.

4. Conclusion of Contract

The contract for a monthly retainer is concluded when both parties confirm an offer or order confirmation in writing. The scope of service is determined by the order confirmation; these GTC apply supplementarily.

5. Prices and Payment

The monthly retainer amounts to CHF 2,800 per month, unless otherwise agreed in the offer. Prices are exclusive of any statutory value-added tax, provided that [FIRMA] is liable for VAT. No setup fee is charged.

Invoicing is processed on a monthly basis. Invoices are payable within 14 days from the invoice date without any deduction. In the event of default in payment, we are entitled to charge default interest pursuant to statutory provisions and, following a prior reminder, suspend services until full payment is received.

6. Term and Termination

The retainer has no minimum term. Either party may terminate the retainer with a notice period of 30 days to the end of the following calendar month. Termination must be submitted in text form; email is sufficient.

7. Performance Commitment, No Guarantee of Success

7.1 Visibility in AI systems depends on the behavior of third parties, namely the operators of the AI systems as well as the sources and directories used. This behavior is outside our sphere of influence. We owe diligent and professional execution, but not a specific successful outcome. In particular, we do not promise any specific mention, placement, ranking, or frequency of citation within an AI system.

7.2 [Optional clause, if a binding performance commitment is desired: "As far as expressly agreed in the offer, the following applies: If, after 90 days, no measurable improvement in visibility compared to the benchmark companies defined at the start can be determined on the basis of the metrics shown in the dashboard, the fee for the fourth and fifth months shall be reduced to CHF 1,400 each." — To be reviewed by legal counsel; this may be better suited for the individual order confirmation than the public GTC.]

8. Cooperation Duties of the Customer

The Customer shall provide in a timely manner all information, technical advice, and approvals required for the provision of services, in particular approvals regarding language and content statements, trademark materials, as well as the legal review of publications that mention the Customer by name. If cooperation is delayed, our deadlines shall be extended accordingly.

9. Ownership of Work Results

Upon full payment of the compensation owed, [FIRMA] transfers to the Customer the rights to the work results created specifically for the Customer, namely content, structured data, and associated documentation, to the extent required. The Customer retains these work results even after termination of the retainer; upon request, the Customer shall receive a copy or export thereof.

Pre-existing methods, templates, tools, software, and the general know-how of [FIRMA] remain the property of [FIRMA].

10. Confidentiality

The parties shall treat non-public information of the other party confidentially and use it solely for the execution of the contract. This obligation survives the termination of the retainer.

11. Data Protection

The processing of personal data is governed by the Privacy Policy of Carigiet GEO. To the extent that [FIRMA] processes personal data on behalf of the Customer, the parties shall conclude a separate data processing agreement pursuant to Art. 9 FADP.

12. Liability

[FIRMA] is liable for damages caused by willful intent or gross negligence. Liability for slight negligence is excluded to the extent permitted by law. [FIRMA] shall not be liable for indirect or consequential damages, namely lost profits or third-party claims.

To the extent that liability exists, it is limited per damaging event to the amount of compensation paid by the Customer in the preceding twelve months. Liability for willful intent, gross negligence, as well as mandatory statutory liability remains reserved (Art. 100 CO).

13. Force Majeure

Force majeure events that make service delivery impossible or unreasonably difficult shall exempt the affected party from its performance obligations for the duration thereof. The parties shall inform each other immediately.

14. Amendments to GTC

We reserves the right to amend these GTC. Amendments will be communicated to the Customer in text form and shall be deemed approved unless the Customer objects within 30 days of notification. In the event of an objection, either party may terminate the retainer pursuant to Section 6.

15. Applicable Law and Jurisdiction

The contract is governed exclusively by Swiss law, excluding its conflict-of-law provisions and the United Nations Convention on Contracts for the International Sale of Goods (CISG).

The exclusive place of jurisdiction for all disputes arising out of or in connection with the contract is [CANTON / Zurich], unless mandatory law designates a different venue.

16. Severability

Should individual provisions of these GTC be invalid or unenforceable, the validity of the remaining provisions shall remain unaffected. The parties shall replace the invalid provision with a valid provision that best achieves the economic objective.
